Please read these Terms of Use (“Terms”) carefully before using the website operated by CRYPTALIC Ltd. (“Cryptalic,” “we,” “us,” or “our”) located at www.cryptalic.com (the “Site”).

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accessing the Site on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must not access or use the Site.

1. Nature of Site Content

The Site is intended solely for informational, business-to-business (B2B) purposes to describe Cryptalic’s deep-technology engineering capabilities, deterministic data integrity frameworks, and related architectural concepts.

No Professional Advice

The content on the Site, including descriptions of architectural frameworks, theoretical constructs, cryptographic methodologies, and cybersecurity approaches, is provided for general illustrative purposes only. It does not constitute legal, engineering, cybersecurity, financial, or other professional advice. You should not rely on any information on the Site as a substitute for consultation with qualified professionals.

2. Intellectual Property Rights

The Site and its entire contents, features, and functionality are owned by Cryptalic, its licensors, or other providers and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

This protection includes, without limitation:

  • All text, graphics, interfaces, photographs, trademarks, logos, sounds, music, artwork, and code.

  • The design, structure, selection, coordination, expression, and arrangement of content.

  • All proprietary concepts, frameworks, and terminology presented on the Site, including but not. limited to “E10 Intrinsic Lattice Framework,” “Atlas,” “Crystals,” and related architectural descriptions.

Cryptalic’s name, logo, product names, and related marks are trademarks of Cryptalic or its licensors. You must not use such marks without prior written permission.

Limited License

Subject to these Terms, Cryptalic grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for internal business informational purposes.

You must not:

  • Reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any material from the Site.

  • Use any content for commercial exploitation.

  • Remove or alter proprietary notices.

No Implied License

Nothing in these Terms or on the Site shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any intellectual property without the prior written consent of Cryptalic.

No Disclosure of Trade Secrets

Technical descriptions and architectural concepts presented on the Site are high-level summaries only and do not constitute disclosure of confidential or trade secret information. Cryptalic expressly reserves all rights in and to its proprietary methodologies and underlying implementations.

Certain technologies described on this Site may be the subject of pending patent applications.

3. Prohibited Uses

You agree not to use the Site:

  • In any manner that violates applicable law or regulation.

  • To restrict or inhibit others’ use of the Site.

  • To harm Cryptalic or expose it to liability.

  • To use robots, spiders, scrapers, or automated systems to access or copy material.

  • To attempt unauthorized access to the Site, its servers, or connected systems.

  • To conduct denial-of-service or similar attacks.

  • To reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of the Site.
     

4. Export Compliance

You agree to comply with all applicable export control and sanctions laws and regulations, including those of the State of Israel, the United States, the European Union, and other relevant jurisdictions.

You represent that you are not located in, under the control of, or a national or resident of any country subject to applicable sanctions or embargoes.

5. Disclaimer of Warranties

YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE SITE IS AT YOUR SOLE RISK.

THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

CRYPTALIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

CRYPTALIC DOES NOT WARRANT THAT:

  • THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.

  • THE SITE WILL BE SECURE.

  • THE INFORMATION OBTAINED FROM THE SITE WILL BE ACCURATE OR RELIABLE.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CRYPTALIC OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL.

IN NO EVENT SHALL CRYPTALIC’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY AND EVEN IF CRYPTALIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Indemnification

You agree to defend, indemnify, and hold harmless Cryptalic and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of:

  • Your violation of these Terms.

  • Your misuse of the Site.

  • Your infringement of third-party rights.

8. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect information. By using the Site, you consent to such processing.

9. Governing Law and Jurisdiction

These Terms shall be governed by the internal laws of the State of Israel, without regard to conflict-of-law principles.

Any legal action arising out of or relating to these Terms or the Site shall be brought exclusively in the competent courts of Tel Aviv-Jaffa, Israel.

Cryptalic reserves the right to bring proceedings in your country of residence if necessary to enforce its rights.

You waive any objection to jurisdiction or venue in such courts.

10. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11. Entire Agreement

These Terms constitute the entire agreement between you and Cryptalic regarding the Site and supersede all prior understandings or agreements relating to the Site.

12. Changes to These Terms

Cryptalic reserves the right to modify these Terms at any time. Changes become effective immediately upon posting.

Your continued use of the Site following changes constitutes acceptance of the revised Terms.
