END USER LICENSE AGREEMENT

By clicking “Accept” or "Agree", creating an account, or accessing or using the software-as-a-service platform (the “Account” and “Platform”, respectively) of Cryptalic Ltd. (together with its affiliates, “Cryptalic”), Cryptalic’s Customer defined in the signature block below, including its authorized users (hereinafter altogether the “Customer” or “you”), agree to this End User License Agreement (the “EULA”). If you do not agree, you cannot access your Account or use the Platform.
1. Parties; Relationship with Customer. This EULA constitutes a binding legal agreement between Customer and Cryptalic. Customer provides access to the Platform to its authorized users (“Authorized User”) and is responsible for Authorized Users compliance with this EULA; Customer use of the Account and Platform means use of Customer Authorized User(s). Read these terms carefully before using or accessing an Account or the Platform. Authorized Users are granted access to an Account and/or the Platform as identified in the applicable order form with Cryptalic. The underlying commercial agreement(s) between Cryptalic and/or its Integrator (as defined herein) and the Customer (the "Commercial Agreement") governs the overall provision of the services and access to the Account and Platform, and furthermore, this EULA governs your use of the Account and Platform. The Commercial Agreement shall prevail in any conflict between these documents. For purposes of this EULA, “Integrator” means the third-party systems integrator or service provider authorized by Cryptalic to deploy, configure, maintain, and provide support for the Platform; “SOW” means the applicable statement of work (or similar document) between the Customer and the Integrator (and/or Cryptalic, as applicable) that describes implementation, maintenance, support and other services, if any.
2. Subscription; Access and Use. Subject to this EULA and the Commercial Agreement as applicable, Cryptalic hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Platform solely as a permitted user for the Customer’s internal purposes and, only in accordance with any applicable Cryptalic instructions, knowledgebase articles, and other materials that describe the features and their functionality, or use of the services and/or the Platform and that are made available to you and any amendments thereof from time to time (the “Documentation”) and applicable law. All rights not expressly granted hereunder are reserved by Cryptalic.
System Requirements; Best Practices. You must use the Platform only in the supported environment and in accordance with the Documentation, including any system requirements and best practices communicated by Cryptalic or the Integrator from time to time (e.g., fixed or approved hardware configuration, resource allocations, networking/storage prerequisites, and operational procedures). Use of the Platform outside the supported environment or contrary to the Documentation is prohibited and may result in degraded performance, suspension, and loss of support entitlements.
License Controls; Device Binding; Term. The Platform may include technical measures that enforce license scope and term, including binding use to one or more authorized machines or servers through hardware identifiers (including MAC address) or similar technical identifiers (“Authorized Device”), limiting use to the applicable license period and expiration date, and displaying in-product notices and reminders regarding impending expiration or renewal. You may not circumvent, disable, or interfere with these measures. If hardware replacement or re-hosting is required, the Customer must coordinate with Cryptalic or the Integrator, if applicable, for authorized transfer or re-issuance of the license.
3. Account and User Responsibilities. You must keep your Account credentials confidential and use reasonable efforts to prevent unauthorized access or use. You must promptly notify Cryptalic of any suspected unauthorized use. Customer represents and is responsible to make sure that access to the Platform and any Customer systems or data which are connected to are made by authorized users. You are responsible for your actions and omissions in using the Platform and for compliance with this EULA, the Documentation, and applicable law.
Cooperation; Maintenance Access. You will reasonably cooperate with Cryptalic, and the Integrator, if applicable, in connection with configuration validation, scheduled maintenance, updates, and license compliance checks, including providing timely information and access needed to perform such activities, at mutually agreed times, in accordance with the Commercial Agreement and any applicable SOW.
4. Acceptable Use; Prohibited Activities. You may not, and shall not permit anyone to: (i) copy, modify, create derivative works of or distribute any part of the Platform (including by incorporation into its products); (ii) sell, license (or sub-license), lease, assign, transfer, pledge, or share Customer's rights under this EULA with any third party; (iii) use the Platform for any commercial purposes, including but not limited to providing services to third parties, without Cryptalic’s express prior written authorization; (iv) disclose the results of any testing, use or benchmarking of the Platform to any third party; (v) disassemble, decompile, reverse engineer or attempt to discover the Platform’s source code or underlying algorithms including through the use of AI/ML tools; (vi) use the Platform in a manner that violates or infringes any rights of any third party, including but not limited to, privacy rights, patent's rights, publicity rights or intellectual property rights; (vii) remove or alter any trademarks or other proprietary notices related to the Platform; (viii) circumvent, disable or otherwise interfere with security-related features of the Platform or features that enforce use limitations; (ix) export, make available or use the Platform in any manner prohibited by applicable laws (including without limitation export control laws); (x) use the Platform in a manner that violates any applicable law, and/or (xi) transmit any malicious code (e.g., software viruses, Trojan horses, worms, malware or other computer instructions, devices, or techniques that erase data or programming, infect, disrupt, damage, disable, or shut down a computer system or any component of such computer system) or other unlawful material in connection with Cryptalic’s product or services. For the avoidance of doubt, the foregoing includes: (i) using the Platform on any device, server, or environment other than the Authorized Device(s) or otherwise outside the licensed scope without Cryptalic’s (or, if applicable, the Integrator’s) authorization; (ii) circumventing, disabling, or interfering with license-control mechanisms (including device binding, expiry controls, reminders, or compliance checks); and/or (iii) preventing or unreasonably restricting the Cryptalic and/or, if applicable, Integrator from performing agreed maintenance updates or compliance checks under the applicable SOW or Commercial Agreement.
5. Intellectual Property; Feedback. Cryptalic is and shall remain the sole owner of all right, title, and interest in the Platform, including any intellectual property rights related thereto, including any and all improvements and derivative works related thereto, and any know-how, including methods, techniques, processes, or technologies embodied in or relating to the Platform and the Documentation. This EULA does not convey to you any right or interest in or to the Platform or the Documentation other than a limited subscription right expressly granted herein and under the Commercial Agreement. Nothing herein constitutes a waiver of Cryptalic’s intellectual property rights under any law. If you provide any feedback (e.g., questions, comments, suggestions or the like) regarding any of the services or the Platform (collectively, “Feedback”), to Cryptalic (whether directly or indirectly), such Feedback shall be regarded as Cryptalic’s Confidential Information (as defined below) and shall be solely owned by Cryptalic, and you hereby assign to Cryptalic all rights in such Feedback and waive all moral rights, if any, or other economic interest therein.
6. Data Privacy. You acknowledge that your use of the Platform may involve the processing of personal information, including personal identifiable information. You represent and warrant that: (a) you have all necessary rights and authorizations to submit such data to the Platform and you shall not use the Platform to process personal information outside the scope of your authorization or in violation of applicable law; and (b) you will implement appropriate technical and organizational measures to protect personal information and to comply with applicable data protection laws. If applicable, Cryptalic processes personal data solely as a processor on behalf of the Customer and in accordance with the Commercial Agreement between Cryptalic and Customer.
7. Confidentiality. You may receive or have access to Cryptalic’s non-public and/or proprietary information, including without limitation trade secrets and other information related to the products, software, technology, or business of the Cryptalic, and any other information that a reasonable person should have reason to believe is proprietary, confidential, or competitively sensitive (the “Confidential Information”). You shall use Confidential Information only as permitted by this EULA, protect it with strict confidence and at least with reasonable care, and not disclose it to third parties except as authorized by Cryptalic or required by law.
8. Support Tool; Disclaimers. The services and Documentation may include third-party information; Cryptalic does not warrant its accuracy or completeness. THE PLATFORM, SERVICES, DOCUMENTATION, AND ANY OUTPUTS OR REPORTS ARE PROVIDED “AS IS” AND “AS AVAILABLE”. CRYPTALIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE. CRYPTALIC DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR THAT DEFECTS WILL BE CORRECTED.
Support Exclusions; Use Outside License. Without limiting the disclaimers above, Cryptalic (and the Integrator, if applicable) have no obligation to provide support, maintenance, or other service commitments for issues arising from (a) use of the Platform outside the scope of the applicable license or permitted use, (b) use in an unsupported environment or contrary to the Documentation or best practices, or (c) circumvention of license-control measures. Cryptalic (and the Integrator, if applicable) is not responsible for failures, data loss, security incidents, or other impacts resulting from such non-compliant use.
9. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRYPTALIC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THIS EULA OR YOUR USE OF THE PLATFORM. CRYPTALIC’S AGGREGATE LIABILITY TO YOU ARISING FROM OR RELATED TO THIS EULA SHALL NOT EXCEED THE AMOUNTS PAID BY THE CUSTOMER FOR THE SERVICES ATTRIBUTABLE TO YOUR USE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
No Liability for Non-Compliant Use. To the maximum extent permitted by law, Cryptalic will have no liability for any claim, damage, loss, or expense arising from or related to use of the Platform in breach of this EULA, the Commercial Agreement, the Documentation, or the applicable license scope (including use beyond expiration or on non-authorized devices).
10. Indemnity by You. You will defend, indemnify, and hold harmless Cryptalic and its affiliates, officers, directors, employees, contractors, and agents from and against claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of: (a) your breach of this EULA, applicable law, or applicable policies; (b) your misuse of the Platform; (c) personal data attributed to you that you submit or access without proper authorization; or (d) your negligent or wrongful acts or omissions in connection with your use of the Platform.
11. Updates; Availability; Support. Cryptalic may provide Updates (as defined below) and may modify or discontinue features. Updates are part of the services and subject to this EULA. The Platform may be unavailable due to maintenance, emergencies, third-party failures, or events beyond Cryptalic’s reasonable control. End-user support may be coordinated by Integrator per the Commercial Agreement.
Maintenance Updates. As part of ongoing maintenance, the Customer must permit Cryptalic and/or, if applicable, the Integrator to perform at least two (2) scheduled update cycles per calendar year (or per twelve-month subscription period), including applying Updates and version upgrades, performing configuration validation, and verifying that the Platform is used in accordance with the Documentation. The Customer will provide Cryptalic and/or, if applicable, the Integrator with reasonable access to the relevant environment (remote and/or on-site as applicable) at mutually agreed times, and you will reasonably cooperate with such access and validation.
Support Tiers (SOW). Unless otherwise specified in the Commercial Agreement or applicable SOW, end-user support is coordinated through Integrator (Integrator registered for the transaction with Customer) or, if the Integrator support is not applicable for any reason, then through Cryptalic and may be structured as: Tier 1 - 24/7 phone availability for urgent incidents and initial intake/triage; Tier 2 - handling by an integration and configuration specialist; for Tier 3 (product-level issues such as bugs, code issues, and version defects) end-user support is coordinated through Cryptalic. Tier 3 may be engaged only upon escalation by Tier 2.
License Compliance Monitoring. To help prevent license violations or unfair use, Cryptalic and/or, if applicable, the Integrator or other authorized entity may implement or run verification checks from time to time, including review of usage logs, verification of Authorized Device identifiers (such as MAC address), and automated validation scripts. You will not disable or interfere with these mechanisms, and you will reasonably cooperate with requests necessary to perform such checks, subject to applicable law and the Commercial Agreement.
“Updates” shall mean all patches, corrections, improvements, and minor enhancements (including security patches) to the services that Cryptalic makes generally available to its customers at no additional cost.
12. Suspension; Termination; Effect. Cryptalic may suspend or terminate access of particular user(s) immediately for suspected or actual violation of this EULA, risk to the Platform, or as required by law. The access also ends when the Customer’s subscription ends, or the Customer disables Account of particular user(s). Upon termination, you must stop using the Platform and delete any Documentation in your possession.
13. Miscellaneous. If any provision is unenforceable, it will be modified to the minimum extent necessary, and the remainder will remain in effect. No waiver is effective unless in writing. No partnership, joint venture, or agency is created. This EULA, together with the Commercial Agreement and any incorporated terms, constitutes the entire agreement regarding your end-user access.
14. Assignment; Changes. You may not assign or transfer this EULA. Cryptalic may assign the rights hereunder to an affiliate or in connection with a merger, acquisition, or sale of assets. Cryptalic may update or amend this EULA from time to time and will take effect upon posting. Material changes will be effective after notice to you and your continued use of the Platform thereafter constitutes acceptance.
15. Governing Law; Venue. This EULA shall be governed by and construed under the laws of the State of Israel, without reference to principles and laws relating to the conflict of laws. The competent courts located in Tel Aviv, Israel shall have the sole and exclusive jurisdiction with respect to any dispute and action arising under or in relation to this EULA and by agreeing to this EULA you (and Cryptalic) agree to the personal jurisdiction of such venue.
